Terms of Service

1. Acceptance of these terms

These Terms of Service (“Terms”) form an agreement between you and SW87 Ventures Ltd (“FlightForm”, “we”, “us”). Where you use FlightForm on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms. If you do not agree, you must not use the service.

2. Definitions

• Platform: the FlightForm software, website, and related services.
• TMC: a Travel Management Company that uses the Platform to manage travel for its clients.
• Customer: an organisation that contracts with a TMC and whose bookers and travellers use the Platform.
• User: any individual who accesses the Platform, including TMC staff, bookers, booker admins, and travellers.
• Travel Content: flight, hotel, train, and car hire options, prices, and related information surfaced within the Platform.

3. The service

FlightForm provides software that helps TMCs digitise their operations, surface Travel Content to their customers, and manage trip requests, bookings, reporting, and traveller records. FlightForm is a technology platform. We are not a travel agent, tour operator, or airline, and we do not ourselves sell, supply, or fulfil travel services.

4. Accounts

You must provide accurate information, keep your login credentials secure, and are responsible for activity under your account. You must notify us promptly of any unauthorised use. We may suspend or terminate accounts that breach these Terms or that present a security or legal risk.

5. Acceptable use

You agree not to: use the Platform unlawfully or for fraudulent purposes; attempt to gain unauthorised access to the Platform or other users’ data; interfere with the operation or security of the Platform; scrape, copy, or resell the Platform or its content except as permitted; upload malicious code; or use the Platform to infringe the rights of others. You must only enter personal data of others where you have a lawful basis to do so.

6. Bookings and Travel Content

Travel Content, including prices and availability, is indicative and is sourced from third parties. It can change between the time it is displayed and the time a booking is confirmed, and we do not guarantee that any option or price will remain available or accurate. A binding travel contract is formed only when the TMC or supplier confirms the booking, on the supplier’s own terms. FlightForm is not a party to that contract and is not responsible for the travel services themselves, including any cancellation, change, delay, or failure to supply by an airline, hotel, rail operator, car hire company, or other supplier.

7. Third-party services

The Platform integrates with third-party services (for example authentication, search, mapping, and payment-adjacent providers). Your use of those services may be subject to their own terms, and we are not responsible for third-party services or content. We may add, change, or remove integrations.

8. Intellectual property

The Platform, including its software, design, and content (excluding data you or your organisation provide), is owned by FlightForm or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Platform in accordance with these Terms. You retain your rights in the data you submit, and you grant us the rights needed to host and process it to provide the service.

9. Fees

Where fees apply, they are set out in the separate commercial agreement between FlightForm and the contracting TMC or organisation. Fees are payable in accordance with that agreement. Unless stated otherwise, fees are exclusive of VAT and other applicable taxes.

10. Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we exclude all warranties, conditions, and representations not expressly stated in these Terms, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or that Travel Content will be accurate or available.

11. Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence or for fraud. Subject to that, FlightForm is not liable for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, data, or goodwill, and our total aggregate liability arising out of or in connection with the service is limited to the total fees paid for the service in the 12 months preceding the claim. We are not liable for the acts or omissions of TMCs, suppliers, or other third parties.

12. Indemnity

You agree to indemnify FlightForm against claims, losses, and reasonable costs arising from your breach of these Terms, your misuse of the Platform, or your unlawful processing of personal data through the Platform.

13. Term and termination

These Terms apply for as long as you use the Platform. We may suspend or terminate access for breach, legal risk, or non-payment. On termination, your right to use the Platform ends. Provisions that by their nature should survive (including sections 8, 10, 11, 12, and 15) will survive termination.

14. Changes to these terms

We may update these Terms from time to time. We will post the updated version here and revise the “last updated” date. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

15. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, except where mandatory local law provides otherwise.
